Service rules, plainly written.

Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the S0 platform — an operating system for AI agents that lets organizations create, govern, and run agents — available as software as a service (the "Service"), provided by Mooncyan, LLC ("SyncZero", "we", "us"), a Delaware limited liability company.

By creating an account, subscribing to a plan, purchasing Fuel credits, or otherwise using the Service, you confirm that you: (a) are at least 18 years old; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to accept these Terms on behalf of yourself or the organization you represent.

If you do not agree, stop using the Service. Continued use after an update constitutes acceptance of the revised Terms. If a separate written agreement signed with an enterprise customer provides otherwise, that agreement prevails for the matters it covers.

Service Description

The Service is a digital, intangible SaaS product. Access is provisioned promptly after payment confirmation; because of this immediate-delivery nature, specific refund limits apply (see §07).

The Service uses third-party AI model providers, including Anthropic, OpenAI, and Google. Performance and availability of model-powered features may be affected by these providers' operational status. We will notify users of material disruptions. When you use your own API keys ("BYOK"), your use of those providers is governed by your own agreements with them.

Account Registration

• Provide accurate and complete information when creating an account. You are responsible for all activity under your account and for keeping credentials and API keys confidential.
• Notify us immediately at [email protected] if you discover unauthorized use.
• Do not share login credentials with third parties, and keep your billing email address valid.
• If you register on behalf of an organization, you represent that you are authorized to bind that organization. Organization administrators are responsible for their member, role, and permission configuration.

Customer Data and Ownership

Content that you or your organization creates, uploads, or accumulates in the Service — including business objects, materials, memory, session content, files, and execution records (collectively, "Customer Data") — belongs to you or your organization.

We process Customer Data only to provide, maintain, secure, and improve the Service. We do not use your inputs or Customer Data to train AI models without your explicit consent. The Service provides permission isolation and execution traceability for Customer Data; see the Privacy Policy and the Data Sovereignty page.

Plans, Credits, and Billing

Cancellation

You can cancel a subscription at any time in account settings (recommended) or by emailing [email protected] from your registered address. Cancellation takes effect at the end of the current billing period; you will not be charged for subsequent periods. We send a confirmation email promptly.

Fuel balance is unaffected by subscription cancellation and remains usable under its own terms. Account data is retained for 90 days after cancellation, then deleted under the Privacy Policy.

Refunds

Because the Service is digital and delivered immediately, fees are generally non-refundable, with these exceptions:

• First-time subscriber 7-day guarantee. First-time subscribers may request a full refund within 7 days of the first charge, provided usage has not exceeded 10% of the plan allowance.
• Duplicate charges. Fully refunded where caused by a billing error.
• Verified outage over 72 hours. Prorated refund or service extension where caused by us.
• Unused Fuel. A Fuel top-up is refundable in full within 7 days of purchase if unused; consumed Fuel is non-refundable.
• Statutory rights. Where applicable law grants withdrawal or refund rights (such as the EU/UK 14-day cooling-off period), those rights are preserved.

To request a refund, email [email protected] with your account email, transaction ID, and reason. We confirm within 2 business days and process approved refunds within 5–10 business days to the original payment method. Not refundable: fees for used billing periods (except as above), annual subscriptions more than 30 days after first purchase, and accounts closed for breach of these Terms.

Billing Disputes

If you believe a charge is wrong, email [email protected] before raising a dispute with your bank. We reply within 2 business days and resolve confirmed billing errors within 5 business days.

AI Content and Intellectual Property

Your output. Subject to these Terms, AI content generated from your input ("Output") is owned by you, and you may use it for any lawful purpose within §10.

Your input. Content you submit ("Input") is licensed to SyncZero on a limited, non-exclusive basis solely to provide the Service to you. We do not use your Input to train AI models without your explicit consent.

Third-party models. The Service uses third-party AI model providers, including Anthropic, OpenAI, and Google. Output may be influenced by these providers' models. We do not guarantee any specific output quality and are not responsible for content generated by third-party models.

Accuracy. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying Output before relying on it.

Acceptable Use

You may use the Service only for lawful purposes consistent with these Terms. You must not generate unlawful, defamatory, harassing, or fraudulent content; create or distribute deepfakes that impersonate real persons or mislead viewers; produce child sexual abuse material or content that violates child-protection laws; build malware, phishing content, or attack tools; infringe third-party intellectual property or privacy rights; circumvent or interfere with the Service's security features; resell or sublicense access without prior written approval; or violate any applicable law, regulation, or card-network rule.

You further agree not to use the Service's inputs, outputs, model responses, or derived data to train, fine-tune, benchmark, distill, or otherwise develop any AI or machine-learning model that competes with the Service; not to scrape or harvest model outputs at scale; and not to present AI-generated content as the work of a human professional (such as a licensed doctor, lawyer, or financial advisor) where it could cause harm.

Our full content standards, reporting channels, and enforcement process are published in the Acceptable Use Policy, which is incorporated into these Terms.

Data, Privacy, and Security

Your use of the Service is governed by our Privacy Policy. Payment card data is processed exclusively by Waffo Pancake, our PCI-DSS-compliant payment processor, and is never stored on our servers. Account data is retained for 90 days after cancellation, then deleted.

Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or the accuracy of AI output.

AI output may be inaccurate, incomplete, or outdated. Do not use it as legal, medical, financial, or other professional advice. Always verify with a qualified professional before acting on AI-generated content.

To the maximum extent permitted by law, SyncZero is not liable for any indirect, incidental, consequential, or punitive damages. Our aggregate liability is capped at the amounts you paid us in the 12 months preceding the event giving rise to the claim.

Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your account for material breach, suspected fraud, or where required by law. If we terminate for reasons other than your breach, we refund the unused prepaid portion on a prorated basis. You may delete your account at any time via [email protected].

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Before initiating formal proceedings, contact us at [email protected] to attempt an informal resolution; we will engage in good faith.

General

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect. Continued use constitutes acceptance. If any provision is held invalid, the remainder stays in full force. These Terms together with the Privacy Policy and the Acceptable Use Policy constitute the entire agreement between you and SyncZero.
